These Terms apply to interpreting, translation, transcription, certification and related language services supplied by Connect Interpreting and Translation Service LTD. By accepting a quotation, placing an order, issuing a purchase order, confirming a booking, instructing us to start work or otherwise accepting our services, the Client agrees to these Terms. Nothing in these Terms excludes any right or remedy which cannot lawfully be excluded.

1. Definitions and Contract

A binding contract is formed when the Client accepts a quotation, confirms a booking or instruction, issues a purchase order, asks the Company to commence work or otherwise communicates acceptance. Unless expressly agreed in writing, these Terms prevail over terms in a Client’s purchase order or standard terms.

2. Quotations, Orders and Scope

Quotations are based on information and scope supplied by the Client and normally remain valid for 30 days. Additional work, changes, waiting time, travel, parking, postage, courier, notarisation, legalisation, apostille and other agreed costs may be charged where not included in the original quotation.

3. Prices, Invoicing and Payment

Unless stated otherwise, prices are in pounds sterling and exclude VAT where applicable. Non-account Clients may be required to pay in advance. Approved account Clients must pay each invoice by its due date. Where no due date has been expressly agreed, payment is due within 30 days of the invoice date.

Payment must be made in full without unauthorised deduction, withholding or set-off. Genuine invoice disputes must be notified promptly in writing. Undisputed amounts remain payable by their due date.

3.1 Late Payment by Business Clients

If a Business Client fails to pay a qualifying commercial debt when due, the Company reserves all rights under the Late Payment of Commercial Debts (Interest) Act 1998 and associated legislation, including statutory interest at the applicable rate, applicable fixed compensation for each qualifying late payment and reasonable additional debt-recovery costs to the extent permitted by law. For the avoidance of doubt, where permitted by the legislation, the applicable fixed compensation is claimed separately in respect of each qualifying overdue invoice: £40 where the debt is up to £999.99, £70 where the debt is £1,000 to £9,999.99, and £100 where the debt is £10,000 or more.

3.2 Overdue Accounts

If any sum is overdue, the Company may suspend or decline further Services, require advance payment, withdraw credit facilities, cancel unperformed bookings or instructions and refer the debt for recovery. The Client remains liable for Services already supplied and properly incurred charges.

4. Interpreting Assignments

The Client must provide accurate language and dialect, date, time, duration, venue or remote-access details, nature of the Assignment and material requirements. Minimum booking charges apply as stated in the quotation or booking confirmation. Additional time is charged at the applicable agreed rates.

If the Client, service user or required participant fails to attend or prevents the Assignment proceeding, the booked fee and agreed expenses remain payable.

5. Cancellation, Postponement and Changes

Unless otherwise agreed, an interpreting Assignment cancelled or postponed with less than 24 hours’ notice may be charged at 100% of the booked service fee together with non-refundable or already-incurred expenses. For translation and project work, cancellation after work starts requires payment for work completed and reasonable non-refundable costs incurred.

6. Translation, Certification and Delivery

The Company will perform Services with reasonable care and skill. Translation involves linguistic judgement and reasonable stylistic differences are not, by themselves, errors. Delivery dates are estimates unless expressly guaranteed in writing.

7. Review, Corrections and Complaints

The Client should inspect delivered work promptly and notify the Company in writing of any alleged material error as soon as reasonably practicable. Business Clients should normally raise complaints within 7 days of delivery unless the issue could not reasonably have been identified in that period.

8. Subcontractors and Linguists

The Company may use suitably selected employees, freelance interpreters, translators and subcontractors and remains responsible for its contractual obligations subject to these Terms.

9. Non-Solicitation of Linguists

For Business Clients only, during an Assignment and for 12 months after the last Assignment in which a linguist was introduced by the Company, the Client must not knowingly circumvent the Company by directly engaging that linguist for substantially similar language services arising from that introduction without written consent, to the extent reasonable and enforceable by law.

10. Confidentiality

Each party must keep confidential information received from the other confidential and use it only as reasonably necessary for the Services, subject to lawful disclosure requirements.

11. Data Protection

Each party must comply with applicable UK data-protection law, including the UK GDPR and Data Protection Act 2018.

12. Intellectual Property

The Client warrants that it has the right to provide source material and authorise its processing. The Company retains its pre-existing materials, know-how, processes, templates and tools.

13. Liability

Nothing in these Terms excludes liability that cannot lawfully be excluded. For Business Clients, subject to applicable law, the Company will not be liable for indirect or consequential loss, loss of profit, revenue, anticipated savings, business opportunity or goodwill.

14. Force Majeure

Neither party is liable for delay or failure to perform, other than payment of sums already due, where caused by circumstances beyond its reasonable control.

15. Suspension and Termination

The Company may suspend or terminate Services if the Client materially breaches the contract, fails to pay when due, becomes insolvent, acts unlawfully or subjects Company staff or linguists to threatening, abusive, discriminatory or unsafe behaviour.

16. Consumer Rights

These Terms do not reduce statutory consumer rights under the Consumer Rights Act 2015 or other applicable legislation. Applicable statutory cancellation rights remain unaffected.

17. General

If a provision is invalid or unenforceable, the remaining provisions continue in force. Delay or failure to exercise a right is not a waiver. The version applicable to an order is normally the version made available when that order is accepted.

18. Governing Law and Jurisdiction

These Terms and disputes arising from them are governed by the law of England and Wales. For Business Clients, the courts of England and Wales have exclusive jurisdiction unless expressly agreed otherwise in writing. Consumers retain mandatory rights available under applicable law.
